1. General
GMG Supply SA sells to the companies as well as to the public authorities (below referred to as "Customer") the goods published on its websites, in prospectuses, online or specified in written offers on the terms and conditions of sale and delivery stipulated below.
2. Conclusion of a contract
The contract between the customer and GMG Supply SA follows the customer order confirmed by GMG Supply SA. The customer's order can be made by internet, phone or in writing. GMG Supply SA accepts the order by sending an order confirmation to the customer or by delivering the goods ordered (delivery note included).
3. Offers
All data relating to the goods that the customer receives as part of the ordering process are not binding. Likewise, the indications concerning the technical data relating to the functionalities of the goods as well as errors of description, illustration and price are subject to modifications. All the technical information of each product comes from the manufacturer / publisher who is therefore committed in this context. All data is indicative and may be changed at any time without notice.
4. Terms of payment
Prices are indicative and are continually adjusted for the market. They are indicated in Swiss francs (CHF), excluding VAT and VAT included, excluding postage and packing. The SWICO tax (recycling tax) is generally not included in the advertised prices. Shipping and packaging costs are calculated separately. Payment to business customers and public institutions must be made, to the extent nothing else has been agreed, within 30 days of the bill being issued. The customer is automatically late payment without any reminder letter to him. New customers can pay by prepayment. GMG Supply SA reserves the right to deliver even its established customers only against advance payment.
5. Delivery conditions
The products ordered can only be delivered to one address in Switzerland. If the merchandise is in stock, it is immediately shipped to the address indicated by the customer. Otherwise, a written order confirmation is sent. Delivery of the goods is at the expense and risk of the customer, also in the event of partial dlivery. If external and visible damage to the ordered goods is found, a compensation procedure is only initiated upon presentation of a certifcate from the carrier. If a product ordered is no longer available at the time of delivery, GMG Supply SA reserves the right to replace it with a similar item. Delivery can also be canceled if the product is no longer manufactured or can not be delivered. In this case it is an impossibility of delivery wich leads to the immediate cancellation of the contract. The delivery times indicated by GMG Supply SA are based on a correct and timely delivery from suppliers and manufactures and are therefore not guaranteed. GMG Supply SA can not be held responsible for damages resulting from incorrect or delayed delivery.
6. Reservation of title
The delivered goods remain the property of GMG Supply SA until full payment. If the customer is late in payment, GMG Supply SA is also authorized to cancel the contract and to take back the goods.
7. Right of return
GMG Supply SA provides a right of return of 8 days from the receipt of the goods by the customer. The goods must be returned in its original packaging intact (without damage, without written or glued inscription). For any return of goods, please contact the Returns Department. The return to GMG Supply SA must take place within 7 days of your return request. The costs incurred for the return of the goods are the responsibility of the buyer. In case of non-compliance with these conditions, GMG Supply SA reserves the right to refuse the return. Any expenses resulting from a non-compliant return may be billed to the customer. If the customer has returned the goods on time and in compliance with the obligations, he receives a credit note from GMG Supply SA. For items, which are not in stock at the time of order and must be specially ordered from a supplier, no right of return exists, even if the criteria mentioned above are met.
8. Warranty defects and liability
For all products sold to corporate customers, the contractual warranty conditions of the manufacturers are applied. All products offered include a 12-month warranty from the date of purchase, with on-site intervention on the next business day, as long as no longer extended warranty period is specifically stated. Products are exchanged or repaired free of charge by the manufacturer during the entire validity of the warranty. In the event that the product is not repairable or replaceable, it will be replaced by an article of the same value or a credit note. The decision of the guarantee will be made in all cases by the manufacturer. GMG Supply SA can not provide any loan device during the repair period. In the event that products have been exchanged directly by GMG Supply SA within the warranty period, and the manufacturer considers that this is not a guaranteed case, GMG Supply SA reserves the right to require the customer to pay for any costs incurred by this exchange. The legal or contractual warranties apply exclusively to defects in workmanship and / or materials, so they do not apply to consumables subject to normal wear and tear. GMG Supply SA can not be held responsible for damages caused by misuse, natural wear of the product or for indirect damage (damage resulting from the defect). The responsibility for backing up existing data rests with the customer. GMG Supply SA can not be held responsible for any loss of data.
9. Data protection
GMG Supply SA guarantees compliance with the provisions of the Swiss Data Protection Act as well as compliance with legal standards in force when entering, processing and using personal data. The customer data gathered during the ordering process is used only to ensure the acquisition procedures. The communication of this information to partner companies can only be made if the service delivery (order procedure) requires it. The customer accepts this use of his personal data.
10. Applicable law and jurisdiction
These conditions are subject to Swiss law to the exclusion of United Nations commercial law (CISG). The competent court is that of Lausanne, but GMG Supply SA reserves the right to appeal to the court corresponding to the client's place of work.
11. Final provisions
For any purchase of goods presented in the catalog or the online store of GMG Supply SA, the general conditions of sale valid at the time of the conclusion of the contract are only applicable. These conditions are valid if they differ from those of the customer. In addition, for the delivery of software, the valid conditions are those of the publisher license and / or content of the data carrier. By opening the sealed data carrier, the customer explicitly recognizes the validity of these conditions. If one or more provisions of these GTC are or become obsolete, the legal validity of the other conditions remains unchanged.
