1. Gen­er­al

GMG Sup­ply SA sells to the com­pan­ies as well as to the pub­lic au­thor­it­ies (be­low re­ferred to as "Cus­tom­er") the goods pub­lished on its web­sites, in pro­spect­uses, on­line or spe­ci­fied in writ­ten of­fers on the terms and con­di­tions of sale and de­liv­ery stip­u­lated be­low.

2. Con­clu­sion of a con­tract

The con­tract between the cus­tom­er and GMG Sup­ply SA fol­lows the cus­tom­er or­der con­firmed by GMG Sup­ply SA. The cus­tom­er's or­der can be made by in­ter­net, phone or in writ­ing. GMG Sup­ply SA ac­cepts the or­der by send­ing an or­der con­firm­a­tion to the cus­tom­er or by de­liv­er­ing the goods ordered (de­liv­ery note in­cluded).

3. Of­fers

All data re­lat­ing to the goods that the cus­tom­er re­ceives as part of the or­der­ing pro­cess are not bind­ing. Like­wise, the in­dic­a­tions con­cern­ing the tech­nic­al data re­lat­ing to the func­tion­al­it­ies of the goods as well as er­rors of de­scrip­tion, il­lus­tra­tion and price are sub­ject to modi­fic­a­tions. All the tech­nic­al in­form­a­tion of each product comes from the man­u­fac­turer / pub­lish­er who is there­fore com­mit­ted in this con­text. All data is in­dic­at­ive and may be changed at any time without no­tice.

4. Terms of pay­ment

Prices are in­dic­at­ive and are con­tinu­ally ad­jus­ted for the mar­ket. They are in­dic­ated in Swiss francs (CHF), ex­clud­ing VAT and VAT in­cluded, ex­clud­ing post­age and pack­ing. The SWICO tax (re­cyc­ling tax) is gen­er­ally not in­cluded in the ad­vert­ised prices. Ship­ping and pack­aging costs are cal­cu­lated sep­ar­ately. Pay­ment to busi­ness cus­tom­ers and pub­lic in­sti­tu­tions must be made, to the ex­tent noth­ing else has been agreed, with­in 30 days of the bill be­ing is­sued. The cus­tom­er is auto­mat­ic­ally late pay­ment without any re­mind­er let­ter to him. New cus­tom­ers can pay by pre­pay­ment. GMG Sup­ply SA re­serves the right to de­liv­er even its es­tab­lished cus­tom­ers only against ad­vance pay­ment.

5. De­liv­ery con­di­tions

The products ordered can only be de­livered to one ad­dress in Switzer­land. If the mer­chand­ise is in stock, it is im­me­di­ately shipped to the ad­dress in­dic­ated by the cus­tom­er. Oth­er­wise, a writ­ten or­der con­firm­a­tion is sent. De­liv­ery of the goods is at the ex­pense and risk of the cus­tom­er, also in the event of par­tial dliv­ery. If ex­tern­al and vis­ible dam­age to the ordered goods is found, a com­pens­a­tion pro­ced­ure is only ini­ti­ated upon present­a­tion of a cer­ti­fc­ate from the car­ri­er. If a product ordered is no longer avail­able at the time of de­liv­ery, GMG Sup­ply SA re­serves the right to re­place it with a sim­il­ar item. De­liv­ery can also be can­celed if the product is no longer man­u­fac­tured or can not be de­livered. In this case it is an im­pos­sib­il­ity of de­liv­ery wich leads to the im­me­di­ate can­cel­la­tion of the con­tract. The de­liv­ery times in­dic­ated by GMG Sup­ply SA are based on a cor­rect and timely de­liv­ery from sup­pli­ers and man­u­fac­tures and are there­fore not guar­an­teed. GMG Sup­ply SA can not be held re­spons­ible for dam­ages res­ult­ing from in­cor­rect or delayed de­liv­ery.

6. Re­ser­va­tion of title

The de­livered goods re­main the prop­erty of GMG Sup­ply SA un­til full pay­ment. If the cus­tom­er is late in pay­ment, GMG Sup­ply SA is also au­thor­ized to can­cel the con­tract and to take back the goods.

7. Right of re­turn

GMG Sup­ply SA provides a right of re­turn of 8 days from the re­ceipt of the goods by the cus­tom­er. The goods must be re­turned in its ori­gin­al pack­aging in­tact (without dam­age, without writ­ten or glued in­scrip­tion). For any re­turn of goods, please con­tact the Re­turns De­part­ment. The re­turn to GMG Sup­ply SA must take place with­in 7 days of your re­turn re­quest. The costs in­curred for the re­turn of the goods are the re­spons­ib­il­ity of the buy­er. In case of non-com­pli­ance with these con­di­tions, GMG Sup­ply SA re­serves the right to re­fuse the re­turn. Any ex­penses res­ult­ing from a non-com­pli­ant re­turn may be billed to the cus­tom­er. If the cus­tom­er has re­turned the goods on time and in com­pli­ance with the ob­lig­a­tions, he re­ceives a cred­it note from GMG Sup­ply SA. For items, which are not in stock at the time of or­der and must be spe­cially ordered from a sup­pli­er, no right of re­turn ex­ists, even if the cri­ter­ia men­tioned above are met.

8. War­ranty de­fects and li­ab­il­ity

For all products sold to cor­por­ate cus­tom­ers, the con­trac­tu­al war­ranty con­di­tions of the man­u­fac­tur­ers are ap­plied. All products offered in­clude a 12-month war­ranty from the date of pur­chase, with on-site in­ter­ven­tion on the next busi­ness day, as long as no longer ex­ten­ded war­ranty peri­od is spe­cif­ic­ally stated. Products are ex­changed or re­paired free of charge by the man­u­fac­turer dur­ing the en­tire val­id­ity of the war­ranty. In the event that the product is not re­pair­able or re­place­able, it will be re­placed by an art­icle of the same value or a cred­it note. The de­cision of the guar­an­tee will be made in all cases by the man­u­fac­turer. GMG Sup­ply SA can not provide any loan device dur­ing the re­pair peri­od. In the event that products have been ex­changed dir­ec­tly by GMG Sup­ply SA with­in the war­ranty peri­od, and the man­u­fac­turer con­siders that this is not a guar­an­teed case, GMG Sup­ply SA re­serves the right to re­quire the cus­tom­er to pay for any costs in­curred by this ex­change. The leg­al or con­trac­tu­al war­ranties ap­ply ex­clus­ively to de­fects in work­man­ship and / or ma­ter­i­als, so they do not ap­ply to con­sum­ables sub­ject to nor­mal wear and tear. GMG Sup­ply SA can not be held re­spons­ible for dam­ages caused by mis­use, nat­ur­al wear of the product or for in­dir­ect dam­age (dam­age res­ult­ing from the de­fect). The re­spons­ib­il­ity for back­ing up ex­ist­ing data rests with the cus­tom­er. GMG Sup­ply SA can not be held re­spons­ible for any loss of data.

9. Data pro­tec­tion

GMG Sup­ply SA guar­an­tees com­pli­ance with the pro­vi­sions of the Swiss Data Pro­tec­tion Act as well as com­pli­ance with leg­al stand­ar­ds in force when en­ter­ing, pro­cess­ing and us­ing per­son­al data. The cus­tom­er data gathered dur­ing the or­der­ing pro­cess is used only to en­sure the ac­quis­i­tion pro­ced­ures. The com­mu­nic­a­tion of this in­form­a­tion to part­ner com­pan­ies can only be made if the ser­vice de­liv­ery (or­der pro­ced­ure) re­quires it. The cus­tom­er ac­cepts this use of his per­son­al data.

10. Ap­plic­able law and jur­is­dic­tion

These con­di­tions are sub­ject to Swiss law to the ex­clu­sion of United Na­tions com­mer­cial law (CISG). The com­pet­ent court is that of Lausanne, but GMG Sup­ply SA re­serves the right to ap­peal to the court cor­res­pond­ing to the cli­ent's place of work.

11. Fi­nal pro­vi­sions

For any pur­chase of goods presen­ted in the cata­log or the on­line store of GMG Sup­ply SA, the gen­er­al con­di­tions of sale val­id at the time of the con­clu­sion of the con­tract are only ap­plic­able. These con­di­tions are val­id if they dif­fer from those of the cus­tom­er. In ad­di­tion, for the de­liv­ery of soft­ware, the val­id con­di­tions are those of the pub­lish­er li­cense and / or con­tent of the data car­ri­er. By open­ing the sealed data car­ri­er, the cus­tom­er ex­pli­citly re­cog­nizes the val­id­ity of these con­di­tions. If one or more pro­vi­sions of these GTC are or be­come ob­sol­ete, the leg­al val­id­ity of the oth­er con­di­tions re­mains un­changed. In ad­di­tion, GMG Sup­ply SA re­serves the right to modi­fy at any time these gen­er­al con­di­tions of sale, they are avail­able on www.gmg.ch.
